Prime Drink Group Announces Acquisition of Beach Day Every Day Brand
Québec-based Prime Drink Group has entered into a binding letter of intent to acquire Prime Capital Investments (PCI), the owner of the Beach Day Every Day (BDED) ready-to-drink beverage brand. The acquisition is valued at CAD $10 million, approximately $7,203,500 USD, and is subject to several conditions, including due diligence, financing, and regulatory approvals.
Founded in 2020, PCI produces both alcoholic and non-alcoholic beverages. The company has expanded its market presence through the Québec SAQ retail network and has made strides in distribution across Canada and the United States. For the fiscal year ending November 30, 2025, PCI reported approximately CAD $2.1 million in royalty revenue and an adjusted EBITDA of CAD $1.2 million.
The acquisition positions Prime Drink Group to integrate a premium, rapidly-growing brand into its portfolio and leverage BDED's expansion outside Québec. Prime Drink Group's CFO, Jean Gosselin, highlighted the potential benefits of incorporating BDED's recent expansion efforts in wider Canadian and U.S. markets.
The proposed financial arrangements will include Prime issuing CAD $10 million for all outstanding shares of PCI and conducting a CAD $4 million non-brokered private placement to fund the acquisition. The placement will offer units priced at CAD $0.05 each, with each unit including one common share and a warrant exercisable at CAD $0.10 over two years. Funds from this placement will also contribute to settling creditor agreements and other working capital needs.
The transaction requires the delivery of audited financial statements for PCI's two most recent fiscal years, an independent valuation report, and approval from the Canadian Securities Exchange (CSE). Prime expects to finalize due diligence by October 15, 2026. The acquisition is labeled as a major transaction under CSE policies, necessitating CSE approval but not expected to change control of the company.
As some Prime directors hold positions in both PCI and Prime Affichage, the transaction is classified as a related-party transaction under Canadian securities law. Exemptions from formal valuation and minority shareholder approval requirements are anticipated. The completion of the acquisition is not guaranteed.
